Changes in the composition of the Supervisory Board of TAURON Polska Energia S.A.

TAURON Polska Energia S.A. (“Issuer") informs that on November 13, 2025 it received from shareholder, State Treasury, represented by the Minister of State Assets statements on:

- dismissing as of November 13, 2025 pursuant to § 23 section 1 item 3) of the Issuer’s Articles of Association the following persons from the Issuer’s Supervisory Board:

Mr. Sławomir Smyczek,

Mr. Piotr Leonard Kołodziej.

The received statements do not present the reasons for dismissing.

- appointing as of November 13, 2025 pursuant to § 23 section 1 item 3) of the Issuer’s Articles of Association the following persons as members of the Issuer’s Supervisory Board:

Ms. Ilona Alicja Malik,

Mr. Krzysztof Andrzej Zawadzki,

Mr. Tomasz Zygmunt Majka.

Pursuant to submitted statements the appointed members of the Supervisory Board do not perform any other competitive activity in relation to the Issuer, do not participate in a competitive company as a partner in a civil partnership, partnership, or capital company and do not participate in any other competitive legal person as a member of its governing body.

The appointed members of the Supervisory Board stated that they have not been entered in the Register of Insolvent Debtors maintained pursuant to the Act on the National Court Register.

The appointed members of the Supervisory Board meet the criteria of independence from the Issuer and entities significantly related to the Issuer listed in the Act of May 11, 2017 on statutory auditors, audit firms and public supervision, and have no real and significant connections with a shareholder holding at least 5 percent of the total number of votes at the Issuer’s general meeting.

Information on the education, qualifications, and previously held positions, along with a description of the professional experience of the appointed Members of the Supervisory Board, will be published in a separate current report at a later date.
