Changes in the composition of TAURON Polska Energia S.A.’s Supervisory Board.

The Management Board of TAURON Polska Energia S.A. (“Company”) informs that acting pursuant to § 22 section 1 of the Company’s Articles of Association the Ordinary General Meeting of the Company on 8 May 2019 adopted resolutions concerning:

1) dismissal of the following persons from the Supervisory Board of the Company of the fifth joint term of office:
a) Mr. Radosław Domaradzki-Łabędzki,
b) Mr. Paweł Pampuszko,
2) appointment of the following persons to the Supervisory Board of the Company of the fifth joint term of office:
a) Mr. Rafał Pawełczyk,
b) Ms. Katarzyna Taczanowska.

Pursuant to submitted statements the appointed members of the Supervisory Board are not involved in any operations competitive to the business operations of TAURON Polska Energia S.A., are not partners in any competitive company, are not partners of a civil law partnership or any other partnerships, and are not members of governing bodies of any joint stock company, or members of governing bodies of any other competitive legal entity.

The appointed members of the Supervisory Board declared also that they have not been entered in the Register of Insolvent Debtors maintained pursuant to the Act on the National Court Register.

Additionally, pursuant to submitted statements the appointed members of the Supervisory Board do not meet the criteria of independence in relation to TAURON Polska Energia S.A. and entities related to TAURON Polska Energia S.A. as understood by Attachment No. 2 to the Recommendation of the European Commission dated 15 February 2005 on the role of non-executive or supervisory directors of listed companies and on the committees of the (supervisory) board, with account being taken of the Best Practice of WSE Listed Companies 2016.

Below the Company presents information about the appointed members of the Supervisory Board concerning education, qualifications and previously held positions, together with description of professional career.

Rafał Pawełczyk

A graduate of the Faculty of Law, Canon Law and Administration of the Catholic University of Lublin, registered on the list of attorneys-at-law of the Warsaw Bar Association (Okręgowa Izba Radców Prawnych w Warszawie). He completed MBA studies at the Gdańsk Foundation for Management Development (Gdańska Fundacja Kształcenia Menedżerów).
In 1999-2011 he worked at PZU S.A. Group where he, among others, dealt with strategic planning and reorganization of the PZU Group into a holding structure taking into account new business and legal solutions. Rafał Pawełczyk successfully managed teams and supervised the implementation of the PZU Group’s projects, he also coordinated the company’s initial public offering (IPO) preparation process.

As part of his business operations he provided legal and business advisory services, optimized organizational structures of business entities, obtained sources of financing and conducted negotiations with financial institutions; he also developed new market development strategies for customers’ products.

In 2016-2018 he was the Managing Director at the Industrial Development Agency (Agencja Rozwoju Przemysłu) where he was responsible for the following areas: corporate affairs and investment projects. Since July 2018 Mr. Rafał Pawełczyk has been the General Director for Corporate Oversight at KGHM Polska Miedź S.A.

Katarzyna Taczanowska

A graduate of the Faculty of Law of the University of Warsaw, registered on the list of attorneys-at-law of the Warsaw Bar Association (Okręgowa Izba Radców Prawnych w Warszawie).

Mrs. Katarzyna Taczanowska has many years of professional experience in providing legal services for business entities that she has been offering since 2003. She was a partner at the GWW Woźny and Partners (GWW Woźny i Wspólnicy) law firm, since 2009 until now she has been a partner at the Kudlak, Taczanowska-Wileńska sp.k. law firm. In 2009-2012 she was the Director of the Legal Office at Towarzystwo Funduszy Inwestycyjnych PZU S.A. (PZU S.A. Investment Funds Company). She was a member of the Supervisory Boards of PZU Życie S.A., LOT Aircraft Maintenance Services sp. z o.o. and IDA Management sp. z o.o.

Since July 2018 Mrs. Katarzyna Taczanowska has been the General Director for Corporate and Legal Affairs at KGHM Polska Miedź S.A.

Legal basis: § 5 section 4) and 5) of the Decree of the Minister of Finance dated 29 March 2018 on current and periodic information disclosed by issuers of securities and conditions for recognizing information required by the laws of a non-member state (i.e. Journal of Laws of 2018, item 757).
