Appointment of the Supervisory Board member of TAURON Polska Energia S.A.

​The Management Board of TAURON Polska Energia S.A. ("Company") informs that the Ordinary General Meeting of the Company convened on April 16, 2018, acting pursuant to § 22 clause 1 of the Company’s Articles of Association, adopted a resolution to appoint Mr. Marcin Szlenk to the Company’s Supervisory Board of fifth joint term of office.

In accordance with the submitted declaration, the appointed Supervisory Board Member does not pursue any other activity competitive in relation to TAURON Polska Energia SA, does not participate in any competitive company, as partners of a civil company, a partnership or as members of a governing body of a capital company as well as does not participate in other competitive legal person as a member of its bodies.

The appointed on 16 April 2018 Supervisory Board Member has also declared that he is not entered in the Register of Insolvent Debtors maintained pursuant to the Act on the National Court Register.

Additionally according to the abovementioned declaration appointed Member of the Supervisory Board meets the independence criteria from TAURON Polska Energia S.A. and entities significantly linked with TAURON Polska Energia S.A. within the meaning of Annex II to the Recommendation of the European Commission of February 15, 2005 regarding the role of non-executive or supervisory directors of listed companies and committees of the (supervisory) board taking into account the Best Practices for WSE Listed Companies 2016.

The Company will provide information on the appointed Member of the Supervisory Board regarding his education, qualifications and positions held previously, along with a description of the professional career, required under the Regulation of the Minister of Finance of 19 February 2009 on current and periodical information submitted by issuers of securities (...) in a separate current report at a later date.
