Changes to the composition of TAURON Polska Energia S.A.’s Supervisory Board

TAURON Polska Energia S.A. (”Issuer") informs that on March 24, 2020, it received information that the Minister of State Assets, acting pursuant to § 23, section 1, clauses 1 and 3 of the Issuer’s Articles of Association:
- dismissed, as of March 24, 2020, Ms. Agnieszka Woźniak from the Issuer’s Supervisory Board,
- appointed, as of March 24, 2020, Mr. Andrzej Śliwka to be a member of the Issuer’s Supervisory Board.

In accordance with the statement submitted, the appointed Member of the Supervisory Board is not conducting any other operations competitive to the business operations of the Issuer, is not involved in any competing company, as a partner of a general (civil law) partnership, any other partnership or as a member of a governing authority of any joint stock company or limited liability company (corporation) , is not involved in any other competing legal entity as a member of its governing authority.

The appointed Member of the Supervisory Board also declared that he was not listed in the Register of Insolvent Debtors maintained pursuant to the act on the National Court Register.

The appointed Member of the Supervisory Board does not meet the independence criteria in relation to TAURON Polska Energia S.A. and entities significantly related to TAURON Polska Energia S.A. within the meaning of Annex II to the Recommendation of the European Commission of February 15, 2005 regarding the role of non-executive or supervisory directors of listed companies and the (supervisory) board committee, taking into account the Best Practices of WSE Listed Companies 2016.

The information about the appointed Member of the Supervisory Board related to the education, qualifications and previously held positions, along with the description of the professional career, required by the Regulation of the Minister of Finance of March 29, 2018, on current and periodic information disclosed by issuers of securities (...), will be disclosed by the Issuer in a separate regulatory filing (current report) at a later date.

§ 5, sections 4) and 5) of the Regulation of the Minister of Finance of March 29, 2018, on current and periodic information disclosed by issuers of securities and conditions for recognizing information required by the laws of a non-member state as equivalent (i.e. Journal of Laws of 2018, item 757).
